GENERAL TERMS AND CONDITIONS FOR USE OF THE SALT SERVICE

These General Terms and Conditions (hereinafter referred to as „Terms of Use” or „General Terms”) govern, together with the Special Terms and attached documents, the contractual relationship between the parties regarding the rental service of electric scooters for urban use.

It is recommended that the user study them carefully.

By accepting these General Terms, the user also expresses his agreement regarding the Special Terms and their annexes.

These General Terms, Special Terms and annexes are available on the SALT website: https://www.timesalt.co/termeni/ and on the SALT mobile application.

All these documents may be changed or updated by the company at any time.

The User will be informed of any updates or changes to the General Terms, Special Terms and annexes, so that they can be accepted in accordance with the provisions of point 16 of these General Terms.

  1.  DEFINITIONS

Within these general terms, the following definitions are applicable:

• User : the person who holds a user account validated according to the SALT policy and who uses the SALT personal mobility electric scooter rental services (hereinafter referred to as „TES”).

– General terms : the content of this document,

• Special terms : the clauses applicable to the parties depending on the city where the service is requested, since each city has particularities and specific local provisions. The applicable special terms are those of the city or place where the service is provided. The place of service is determined by the place of delivery of TES. The special terms are supplemented by annexes that include the local regulations of the respective city.

• SALT application : is the mobile application used to manage and use the TES rental service.

• Website : refers to the page with the address https://timesalt.co

– User account : this represents the account that the user creates during the registration process in the SALT application, validated by Time Salt SRL and which is necessary to conclude a contract for the service offered.

•TES : the term designates an electric personal mobility scooter like those that make up the SALT fleet of vehicles, which the user can rent for efficient use.

• Service : refers to the TES rental service, which is charged by one of the following methods:

i) the rental billed by the hour or for a determined period of time, during which the user uses the effective TES. It is obvious that the actual use involves the period between the time when the TES is delivered and when it is returned, according to the conditions of use.

ii) daily rental.

iii) renting on the basis of a monthly or annual subscription.

•City : this term refers to the city where the SALT services operate and therefore establishes the areas where the TES can be used. The city is determined by the location where the TES is delivered and made available for use.

• Traffic area : this represents the area or areas in the city where the TES can be driven. The traffic zone specific to each city is indicated in the SALT app and on the website.

• Operating area : refers to the area or areas where the TES can be made available and returned. Areas of operation can be found in the City-Specific Special Terms on the SALT website and app.

• SAT : Customer Service, which can be accessed through the following contact information: Email: support @timesalt.co

  1. OBJECT

The contractual relationship between the parties is governed by the General Conditions, as well as by the Special Conditions and their annexes.

The purpose of these General Terms is to regulate the TES rental service for the benefit of the city user. The service offered includes the rental of TES for the actual duration of use (per trip or per minute), or for a rental per day, month or year.

By renting the TES by the user, ownership of the TES is not abandoned or transferred. They remain the property of Time Salt SRL.

TES rental service is subject to TES availability. The user can see the location and availability of TESs in the SALT application.

  1. REQUIREMENTS FOR USE OF THE SALT SERVICE

To be able to use the TES rental service offered by Time Salt SRL, the user must meet the following requirements:

  • Be at least 18 years old or of legal age.
  • Have a SALT user account.
  • Have minimal experience or skill in driving TES and be familiar with the safe operation and handling of TES.
  • Have basic knowledge of driving and local traffic regulations, which are made available to the user.
  • To accept these General Terms, which include the Special Terms and annexes.
  1. USER REGISTRATION, USER ACCOUNT

The registration process is free.

To start the registration process, it is necessary to download the SALT application from the online application stores or directly from the website.

After downloading the SALT app, you need to create a user account. For this purpose, you must complete the registration and submit the requested information.

You will need to provide information about your chosen payment method.

The email address entered during user account setup CANNOT be changed later.

If necessary for the type of vehicle rented, Time Salt SRL may request documents, such as a driver’s license. The user can upload them through the SALT application or send them via email.

After completing the registration process, Time Salt SRL will verify the account. Once it has been confirmed and activated, the user will be notified immediately.

A user cannot have multiple user accounts.

The user account is personal and non-transferable. In addition, the user must be the only person using the service. The user must take appropriate measures to ensure the confidentiality of the user’s account information, in particular the login data.

If the user account credentials are lost or stolen or there are reasonable suspicions that the account is being used by a third party, the user will inform Time Salt SRL immediately, through the contact information provided in these General Terms.

If the user is at fault (intentionally or through gross negligence), he is responsible for all obligations or damages arising from the use of the user account by a third party.

The user is obliged to keep up-to-date the information provided to create his user account, in particular the billing and contact information (with the exception of the email address entered during the registration process and the chosen payment method). Failure to comply with this requirement allows Time Salt SRL to suspend service to the user.

  1. NETWORK ACCESS

To download the SALT application and complete the service through these General Terms, the user must connect the device to the Internet.

The user acknowledges that Time Salt SRL is not responsible for the quality and availability of the internet network and that the availability of the service may be influenced by the quality and availability of the internet connection provided to the user by their telecommunications service provider.

Time Salt SRL does not provide any performance guarantee for the SALT application. It is not a part of the service that the SALT application will be available, secure or error-free at all times or that minor errors in the software or service will be fixed. In this sense, Time Salt SRL does not offer any guarantee.

  1. NOTIFICATIONS

When creating the user account, the user accepts that Time Salt SRL may send informative text messages (SMS), e-mails, as well as automatic notifications as part of normal operations.

  1. PRICE, PAYMENT METHOD, PAYMENT METHOD, INVOICE
  1. PRICE

The price of the service is determined by the Special Conditions of the respective city, which may be modified according to the provisions of point 16.

Prices include taxes applicable to the country in which the city is located.

The current prices applicable for each city can be found on the timesalt.co website and in the SALT app.

Prices may vary depending on the category of TES rented.

If a TES is returned outside the operating area, additional prices apply, which are indicated in the Special Terms of each city.

  1. PAYMENT METHOD

The price of the service will be paid as follows:

i) The usage fee (in minutes or actual duration) is paid when the TES is made available.

ii) The daily rent is paid at the time of booking.

  1. PAYMENT METHODS

The price of the service will be paid through the payment methods specified in the user’s account at the time.

The payment methods that can be selected in the SALT application are those indicated in the application.

Available payment methods include (but are not limited to):

i) „credit account”, which is automatically created in the user’s account. Here, the user can deposit funds into an account. The service price for any contractually agreed service will be debited from the credit account.

ii) credit card (Visa, Mastercard or American Express)

iii) other payment methods that will be specified in the application.

SALT may, at its discretion, offer rewards or bonuses to users.

Balances in the bonus account cannot be transferred to third parties or other users of the service and cannot be used outside the SALT application.

If the user has closed the service, the bonus account balance will be canceled automatically.

  1. UNCOLLECTED PAYMENTS

In case of uncollected payments, SALT will automatically try to recover the balance due by withdrawing the amount directly from an active user card. SALT reserves the right to attempt to recover the user’s negative balance multiple times until the payment is successfully processed.

The service will be automatically (temporarily) disabled for the user in case of unpaid payments to SALT, until the outstanding payment has been settled in full. If the outstanding payment cannot be recovered according to the established procedure, the contract will be terminated and the service will be permanently cancelled.

Payments may be considered uncollected for credits associated with services rendered, amounts due for TES damages, fines, penalties, loss of TES or for any other amount that the user owes SALT in accordance with the terms set out in these General Conditions.

To recover unpaid payments, the following process will be used, at no cost to the user:

i) First of all, the balance in the bonus account will be used to recover the amounts owed.

ii) If the bonus account balance has no credit, the credit account balance will be used. If this amount is not sufficient, SALT has the right to recover the outstanding costs through another payment method configured in the user account (credit card, direct debit or other method).

iii) If the user decides to terminate the contract, he must pay all outstanding payments, which cannot be covered by the bonus account balance. SALT has the right to recover the remaining amounts through the payment method defined in the user’s account (credit card, direct debit or other method). If the collection of outstanding payments is not possible through any of the listed methods, SALT has the right to transfer the claim to a debt collection agency. SALT reserves the right to charge the user for collection expenses, both its own and those of third parties, to the extent that they were necessary and proportional to the respective request.

  1. billing

Invoices for services will be generated and sent to the user’s email address, as provided during registration in the application or through the profile or from the user account. Any appeals regarding SALT fees must be made within 14 days from the date of issuing the invoice.

  1. DURATION AND TERMINATION OF THE CONTRACT

These terms, together with the specific terms and annexes, will remain in force until the termination of the contract between the parties. The contract can be terminated by either party at any time.

The user can withdraw from the service at any time, informing SALT in writing at the contact address specified in these general terms.

After the user withdraws from the service, the user account will be deleted and the service will be disabled.

The contract is terminated by SALT if SALT notifies the user in this regard or if SALT has stopped providing the service for any reason.

If a user terminates the service while still having a credit in his account, SALT will recover the outstanding payments and return the remaining amount.

If a user of a monthly or annual service terminates the contract while the subscription is still valid, SALT will collect the outstanding payment and return the remaining proportion, already invoiced.

When the contract has been terminated due to the violation of the obligations established in these general terms, special terms and annexes, the user must assume responsibility for any loss or damage resulting from this violation.

  1. TERMS OF USE OF THE SERVICE AND OBLIGATIONS OF THE USER
  1. RENTAL DURATION
  1. Start: the service rental starts as soon as the user has requested the rental of a TES through the SALT application and SALT has confirmed the service.
  2. End: the rental ends as soon as the TES has been correctly returned. The proper return of TES is confirmed when the SALT system indicates this in the SALT login data, according to section 11.9 of this term.
  3. During the rental period, the user is responsible for TES, assuming responsibility for any damage caused to TES that occurred during this period.
  1. AVAILABILITY AND MAINTENANCE
  1. The TES rental service is conditioned by the availability of the TES.
  2. The availability of TES for use depends on the order of arrival and the user’s request.
  3. SALT does its best to satisfy the user’s request for TES, but cannot guarantee that the supply of TES is sufficient for all users at any time, because the service is subject to the availability of TES, as mentioned.
  4. SALT is responsible for the maintenance and repair of TES. However, SALT does not guarantee that the available TES are in perfect working order.
  5. If a provided TES has not been used for 24 hours, the service will be automatically suspended and SALT has the right to offer the TES to other users.
  1. SIMULTANEOUS RENTAL OF SEVERAL TES
  1. In general, the simultaneous rental of several TES by a single user is prohibited.
  2. If several TES were rented simultaneously, the responsibility of the user, as established in these general terms and in the specific terms, extends to each TES. Therefore, the user is responsible for the performance of other TES users.
  1. PROVIDING TES TO THE USER
  1. TES is provided in the operating area.
  2. The SALT application shows the user the available TES and that it has been assigned to the requested service.
  3. To unlock the TES from the SALT anti-theft security system, the user follows the steps indicated in the SALT application.
  4. The battery level can be checked in the application. For technical reasons, the actual level may differ from the one indicated in the application.
  5. At the initial moment of delivery, the TES battery is sufficiently charged for an autonomy of at least 20 km.
  1. TES INSPECTION
  1. After providing the TES, the user will perform an inspection to ensure that the TES is working properly.
  2. The inspection includes checking the functional components of the TES, such as brakes, wheels, battery level, identification plate (if applicable for the TES type), lights or reflective devices, GPS.
  3. If one of the mentioned components shows a fault, the SALT Customer Support Service (SAT) is notified immediately. The communication regarding the failure of the TES must take place within the first 5 minutes of the rental, otherwise it is assumed that the TES provided is working correctly.
  4. After notification of the defect to SAT, the service will be suspended and no costs will be charged to the user.
  5. The user can request another functional TES after canceling the service. The use of this new TES will be billed in accordance with the prices and conditions established in these general terms.
  1. SPECIAL CONDITIONS OF USE

The user confirms that:

  1. He is experienced in handling and driving a TES
  2. He is mentally and physically fit to drive a TES
  3. Knows local, municipal and state traffic rules and laws regarding the use and driving of a TES
  4. Knows traffic areas in the city.

The user further acknowledges and agrees that:

  1. Riding around town with a TES or jumping into a TES can lead to accidents, involving personal risk. Thus, the user is obliged to be cautious while traveling with TES.
  2. received adequate training to operate and operate a TES, regardless of whether SALT or a third party explained the procedure.
  3. It is the user’s responsibility to purchase and use a helmet and/or other safety equipment or accessories if required by local, municipal or state laws.
  4. The use of safety equipment does not eliminate the risk of an accident.
  5. Any damage caused to other people or property while using a TES is the responsibility of the user.
  6. Use of the service is subject to a fee.
  1. FUNDAMENTAL RESPONSIBILITIES OF THE USER DURING THE RENTAL

User responsibilities include:

  1. Compliance with general and special terms and conditions
  2. Careful use of TES during rental and ensuring it is not left unattended
  3. Using the stand or footrest to park the TES
  4. Handle and maintain TES with care
  5. Do not leave or provide the TES in the possession of third parties or other users. If the TES has been entrusted to a third party or another user, the responsibility for any damages or incidents caused by the TES rests with the original user
  6. Correct use of an authorized helmet or safety equipment if required by local regulations
  7. TES load limitation to 100 kg
  8. To follow and respect the traffic and safety rules of the city, as well as its customs
  9. To check the traffic areas and not to exceed the speed limit of the streets
  10. To act with the necessary caution, to respect the essential safety measures and to adapt the driving style to the weather conditions
  11. To avoid driving a TES in unfavorable weather conditions
  12. Do not exceed the legal speed
  13. Not to carry objects that prevent safe driving
  14. Not to transport other users with TES (apart from the one driving it)
  15. Not to use the TES under the influence of alcohol, drugs or other substances that may affect the ability to drive and use the TES safely
  16. Not to use mobile devices while driving the TES (including the use of electronic devices to listen to music, as well as phone calls and other services that distract the driver or prevent safe handling of the TES)
  17. Not to use TES if an apparent technical defect is observed
  18. Not to use TES for racing, jumping or acrobatics
  19. Not to use TES for commercial purposes
  20. Not to use TES to tow, pull or push people, objects or other vehicles
  21. To respect pedestrians and other users of public roads
  22. Not to modify or alter the TES in any way
  23. Not to attach stickers or other elements to the TES
  24. Not to remove or damage TES accessories, parts or components
  25. Not to commit crimes with TES or during its rental
  26. To return TES to the operating area
  27. To pay the additional fees if the TES was returned outside the operating area
  28. Park in authorized areas and use the anti-theft protection mechanisms, if applicable, while the TES is not in use
  29. To keep the SALT application updated by installing the version         
  30. To maintain the confidentiality of user account access data
  1. LOCATION DEVICES (GPS)
  1. The TESs are equipped with GPS technology that allows SALT to precisely locate the TES at all times.
  2. The TES location device has the role of detecting, identifying and preventing any crime and evaluating the performance of the TES.
  3. SALT systems and electronic devices are also used to monitor the status, operation and movement of TESs.
  4. The information collected with the help of these systems can be used during and after the completion of any service, with the sole purpose of ensuring the execution, control and compliance of the service and to analyze its performance.
  1. RETURN OF TES
  1. TES must be returned in the same conditions in which it was offered.
  2. Returning TES is done in the operating area of ​​the city and in places where TES parking is allowed.
  3. If the TES is returned outside the commercial area of ​​the city, the user will be charged additional rates specified in the Special Terms.
  4. In order to make a correct TES return, the system must correctly recognize the TES return.
  5. When returning, the user must follow the instructions in the SALT application and ensure that the SALT application correctly recognizes and registers the return.
  6. The rental period ends after the registration of the TES return.
  7. In the SALT application, the user can see the completed rental process, the total rental duration and the total applied rate.
  8. If the SALT application does not recognize the TES return for any reason (for example, faulty internet connection), the user must contact SALT immediately to resolve the incident with the help of SAT or through the application.
  9. If a TES has not been used for a period of 24 hours, the service will be closed automatically and SALT has the right to make the TES available to other users.
  10. If the user does not return the TES correctly (according to the indications in these Terms of Use) and the TES is stolen or damaged, the user will be obliged to pay the price of the TES as specified in the Special Conditions to SALT.
  11. If necessary, the user must provide details about the exact location of returning the TES.
  12. The user is obliged to comply with the specific requirements regarding the operating area.
  13. When parking, the user must make sure that the TES will not hinder other users and traffic participants and that it is left in an area dedicated to parking.
  14. The user is responsible for checking if there are temporary parking restrictions in the area where he intends to leave the TES.
  15. If a TES is parked in areas with daily or hourly parking restrictions, the service cannot be stopped.
  16. In case of violation of the previously mentioned parking rules, additional fees may be applied according to the rates indicated in the Special Terms.
  17. The SALT system can prevent the blocking of the TES upon return, if it is found that the return provisions have not been respected.
  18. If an incorrectly parked TES was picked up by the competent authorities and taken to the vehicle depot, the user will bear the costs for the recovery of the TES.
  1. ACCIDENTS

If the user is involved in an accident, the following are applicable:

  1. The user must immediately contact the local police.
  2. The user must inform SALT about the accident and about the damages produced by TES as soon as possible.

The responsibility of an accident rests with the user, if he can be accused of causing it.

The user is responsible for repairing damages and for compensating losses caused to third parties, as well as for reimbursing damages caused to the TES, even if the TES has to be completely replaced.

  1. THEFT

If the TES, its accessories or any other components are stolen during the rental, the user is obliged to:

  1. Contact SALT Customer Service (SAT) immediately
  2. To hand over the corresponding report to the law authorities
  3. Send a copy of the complaint to SALT within 24 hours of reporting.

In the event of theft, loss or disappearance of the TES, the user shall pay to SALT the amounts established in the Special Conditions for the City.

  1. FINES, PENALTIES AND OTHER PENALTIES
  1. The user assumes responsibility for non-compliance and will bear all resulting fines, fines and penalties, including all fees or fines for parking the TES in prohibited places, costs for retrieving the TES from municipal depots, traffic fines or fines for not wearing mandatory safety equipment , such as headphones.
  2. SALT reserves the right to disclose the user’s identity to the authorities or public administration if he has violated traffic regulations during the rental (violation of traffic rules, prohibited parking).
  3. SALT may also require the user to cover the costs of violations committed, such as fines, penalties and legal expenses incurred by SALT. Payment will be made through the payment methods registered in the user account.
  4. In case of non-payment of the sums due by the user for the situations mentioned above, the contractual relationship between SALT and the user will be terminated immediately. In addition, SALT will take all legal steps to recover additional amounts for damages and losses suffered.
  1. MODs
  1. SALT may make changes at any time to the General Terms, Special Terms and their annexes. In this case, the user will be notified by e-mail to the address provided.
  2. The changes are considered to be accepted by the user if he has not raised objections within one month of the communication of the new conditions. SALT will explicitly inform the user of the meaning of no objection.
  3. Changes will be accepted in any case if the user accesses the service through the SALT application after the new conditions have been communicated.
  4. The new versions of the General and Special Terms and Conditions are accessible both in the SALT app and on the website.
  1. DISCLAIMER

SALT assumes no responsibility for the uninterrupted availability of the service. Also, SALT cannot always guarantee the availability of TES.

In case of slight negligence, SALT will not be liable for damages. However, bodily injuries will be excluded.

SALT will not be held liable if it fails to fulfill its obligations due to force majeure situations, including, but not limited to, actions of public administrations, fires, floods, explosions, demonstrations, civil disturbances, strikes, labor disputes, interruptions current or telecommunications systems.

  1. INTELLECTUAL PROPERTY

All copyrights, trademarks, trade names, logos and any other intellectual or industrial property rights owned and used by SALT, as well as those existing in the SALT application or on the website (including titles, graphics, icons, scripts, source codes, etc. .) are the property of SALT or its third party licensors. They may not be reproduced, distributed, sold, used, modified, copied, limited or used (in whole or in part) without written permission.

The User must confirm and warrant that he owns all intellectual or industrial property rights in any text, image, information and any other content that he distributes and publishes through the SALT Systems (in the SALT App or on the Site). The user will only provide content that fully complies with existing legislation and / or that does not lead to the infringement of intellectual or industrial property rights of third parties. At its sole discretion, SALT may edit, remove or hide content and information provided by users in whole or in part.

If the user sends suggestions for changes, improvements or other comments to SALT and / or its services (hereinafter referred to as „comments”), SALT will have the right to use these comments for any purpose (including marketing or other commercial purposes), without be obliged to provide adequate consideration to the user. The user agrees to transfer all rights, claims and interests (including any intellectual or industrial property rights) related to his comment and / or relating to his comments to SALT.

  1. COMPLAINTS AND COMPLAINTS

The user can submit a complaint or raise a complaint through the communication channels mentioned in the contact and contact information (SAT) section of this contract.

  1. NULLITY

If any part of these General Terms (including the Special Terms) is declared invalid or cancelled, the other clauses remain in force without loss of value or validity. In such a case, the invalid clauses will be replaced by valid ones that come as close as possible to the purpose of the invalid clauses.

  1. BREACH OF CONTRACT

In the event of a breach of contract, SALT will be entitled to terminate the contract and seek compensation for damages and losses resulting from the breach.

A breach of contract on the part of the user implies, in any case, non-compliance with the commitments in these General Terms, Special Terms and annexes, in particular non-compliance with the user’s fundamental obligations.

  1. APPLICABLE LAW AND JURISDICTION

These General Terms (including the Special Terms and their annexes) are subject to Romanian law, excluding the application of the provisions of private international law and the UN CISG.

  1. RESOLUTION OF DISPUTES

SALT will not participate in a dispute resolution procedure with a consumer conciliation body.

  1. AREAS OF OPERATION

The operating areas in Romania are accessible in the SALT application.

  1. PRICES

• 6 RON for the first 5 minutes, then 1.2 RON/minute

• Fee per minute: 1.2 RON

Prices may vary during campaign periods or depending on an active subscription.

  1. ADDITIONAL FEES

• For driving without a valid or valid rental contract or for transferring access data to another user: 1000 RON

• For losses or all repair charges incurred through the fault of the user: expenses generated according to the invoiced amount

• For additional costs incurred through the fault of the user (e.g. towing / lifting of the vehicle, etc.): expenses according to the invoiced amount

• For parking an eScooter in locations that are not accessible to the public: 200 RON

• For moving an illegally parked eScooter: 100 RON (without VAT)

• For picking up an eScooter outside the operating area: 100 RON (without VAT)

Refund Policy : All purchase transactions made through the Services are subject to SALT’s return policy in effect at the time of purchase. It is currently SALT’s refund policy not to provide refunds for payments made through the Services, except at SALT’s sole and absolute discretion.
